NDAs are simple to prepare because the variable content is concentrated in the signature block. Beyond the signature itself, most need the signer's printed name, their title, the entity they are binding, and the date.
A one-way NDA binds only the receiving party, so only they strictly need to sign — though most parties still countersign to evidence the agreement. A mutual NDA binds both, and both signatures matter.
Either way, add every party as a separate recipient so each signature is attributable to a specific person at a specific address. Sequential signing is rarely necessary for an NDA; parallel signing is faster and works fine.
NDAs get referenced years after signing, usually at an inconvenient moment. When the workflow completes, download the executed PDF together with its completion certificate, which contains SHA-256 hashes over the document and captured signing information so later alteration is detectable.
Folders help here. Grouping executed NDAs by counterparty or year makes them findable when someone asks whether a particular company is under one.
