What a bill of sale records

A bill of sale evidences that a specific item passed from a named seller to a named buyer on a given date for stated consideration. Its usefulness depends almost entirely on how specifically the item is identified.

Vehicles need more than a bill of sale

This is the point people most often get wrong. A signed bill of sale documents the transaction between the parties, but legal ownership of a titled vehicle transfers through the state's title process. Most states require the assignment to be completed on the physical title or an official state form, and a number require the seller's signature to be notarized.

Several states also mandate their own bill of sale form for vehicle transactions and will not accept a generic one. Some require an odometer disclosure with specific federal language. Check with your state motor vehicle agency first and treat the electronic bill of sale as a record between the parties rather than as the transfer itself.

Equipment and general goods

For untitled goods — equipment, furniture, tools, livestock, business assets — a bill of sale is typically the whole of the documentation and signing it electronically is straightforward. Where the sale is as-is, an explicit disclaimer with its own checkbox or initials field makes that term hard to dispute later.

Both parties should keep the completed document and its completion certificate. For a private sale with no ongoing relationship, that record is the only evidence either side will have.
